1. Authorization
The Client (hereinafter referred to as “Client”) is engaging Reader Web, a division of The Reader Magazine, for the specific purpose of designing a Web Site, herein after referred to as “Web Design Project”. The Client authorizes Reader Web to assist Client to secure a domain name for Client and set up a Hosting Service on behalf of Client, both of which are included in this Web Design Project at no extra cost to the Client. Reader Web agrees to perform Search Engine Optimization of the web site and submit the completed Web Design Project to major Web Search Engines including Google, Yahoo, Bing, Ask, and 125 social book marking sites at no extra cost to Client.
2. Development
Compatibility – Reader Web represents and warrants that the web site designed will be compatible with all major browsers used today, including Microsoft Internet Explorer, Safari, Mozilla Firefox, Chrome, Opera.

4. Web Site Updates
Client may request minor web page updates to regular web pages up to one week from the date web site goes live at no cost, including updating links and making minor changes to a sentence or paragraph. This does not include removing nearly all the text from a page and replacing it with new text or imagery. Clients who choose Reader Web for on-going Search Engine Optimization (for $99/mo), are entitled to 2 hours of studio time per month for updates to their web site, ($150/mo value), included at no extra cost. If an ongoing Search Engine Optimization package is not purchased, changes requested beyond the one-week period are billed at the hourly rate of $75.
5. Completion Date
Client and Reader Web agree to work together to complete the web site in a timely manner. Reader Web agrees to work expeditiously to complete the web site no later than 90 days from the signing of this agreement/receipt of deposit.
6. Assignment of Project
Reader Web reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.
7. Payment of Fees
50% deposit is payable to Reader Web to start work on Client web site due upon signing this contract with the balance due on completion of Client’s web site, before it is made live or the files are released. Make payments to “Reader Web” or “The Reader Magazine”. We accept all major credit cards, cash, checks, Pay Pal, and Western Union.
The Fine Print
8. Legal
Reader Web offers Clients a world-class and reliable web design and web hosting service. That said, Reader Web cannot warrant that the functions contained in these web pages will be uninterrupted or error-free. Reader Web is not liable to the Client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or web site. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
9. Copyrights and Trademarks
The Client represents to Reader Web and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Reader Web for inclusion in web pages are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Reader Web and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.
10. Laws Affecting Electronic Commerce
The Client agrees that the Client is solely responsible for complying with electronic commerce laws, taxes, and tariffs, and will hold harmless, protect, and defend Reader Web and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the Client’s exercise of Internet electronic commerce.
11. Copyrights to Web Pages
Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the Client, and remain the property of their respective owners. Copyright to the finished assembled work of web pages and design produced by Reader Web is owned by Reader Web. Upon final payment of this contract and through this agreement the Client is assigned rights to use as a web site the design, graphics, and text contained in the finished assembled web site. Reader Web and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios.
12. Payment of Fees
Payments for the valuable web design services rendered will be made in a timely manner. Delinquent bills will be assessed a $25 charge if payment is not received within a 10 day grace period after the due date. If an amount due remains delinquent 30 days after its due date, an additional 5% penalty will be added for each month of delinquency and the web site will be turned off from public viewing with a Splash Page stating that the web site is undergoing routine maintenance. If the Client’s account is transferred to collections or other legal action is required to collect the amount due, the costs normally associated with this are 20% of the total value of the agreement, and as such a 20% fee of the total value of the agreement will be applied to the amount outstanding. Wherever the Client’s business is located, the Client agrees that this contract was entered into in San Bernardino County, California, and any dispute will be litigated or arbitrated in San Bernardino, California.
13. Sole Agreement
The agreement contained in this “Web Site Design Agreement” constitutes the sole agreement between Reader Web, its subcontractors, and the Client regarding this web site. Any additional work not specified in this contract must be authorized by a written change order.
14. Refund Policy
If the Client requests work to stop prior to completion of the web site, work completed shall be billed at the hourly rate of $75 per hour, deducted from the deposit, and the remaining balance will be returned to the Client. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, the Client shall be liable to pay for all work completed at the hourly rate stated above. No portion of the initial payment can be refunded unless written request is received within 15 days of signing this contract.
